This Membership Agreement (this “Agreement”) sets forth the terms of your membership (“Membership”) with Park Avenue Medicine & Surgery, which encompasses the following entities and providers: Karan Johar MD PLLC dba NYC Pain Specialists; Lenox Hill Pain Management and Spine PLLC; Lenox Hill Medical PC dba Park Avenue Medicine & Surgery; Karan Johar MD; and all related providers and entities (collectively, the “Practice”).
Billing Entity: Membership fees will be billed by NEW YORK PHYSICIAN SOCIETY, a technology company providing administrative and technology services for the Membership. Fees for insurance-covered services or other medical service fees may be billed separately by the relevant medical entity or provider.
THIS AGREEMENT IS NOT HEALTH INSURANCE AND DOES NOT MEET ANY INDIVIDUAL HEALTH INSURANCE MANDATE THAT MAY BE REQUIRED BY FEDERAL LAW, INCLUDING THE FEDERAL PATIENT PROTECTION AND AFFORDABLE CARE ACT. THIS AGREEMENT COVERS ONLY THE HEALTHCARE SERVICES DESIGNATED IN THIS AGREEMENT.
Membership requires a 12-month commitment for $6,000 per year.
Ages 18 years and above
Your Membership begins on the date you sign up and continues for 12 consecutive months (the “Membership Year”).
General Membership: $6,000/year.
Payments can be made annually or in quarterly installments of $1,500.
Membership fees will be billed by NEW YORK PHYSICIAN SOCIETY and charged to your designated payment method.
Membership includes 24/7 access by phone to a provider.
Home visits are available for an additional $500 per visit and are limited to Manhattan below 110th Street.
Membership Fees and Services may change from time to time. You will receive at least ninety (90) days' notice of any changes.
For subsequent Membership Years, you may accept the revised terms or cancel your Membership in accordance with Section 5.
If you have an emergency, you must call 911.
Practice does not treat emergencies or provide specialist medical services, medications, or supplements.
Membership is not health insurance.
Practice does not bill or participate in any commercial insurance plans, Medicare, or Medicaid.
You are solely responsible for payment of all fees for Practice’s services.
Medical service fees or insurance-related fees will be billed by the relevant medical entities or providers.
Membership Fees will be billed and processed by NEW YORK PHYSICIAN SOCIETY.
Fees will be charged to your credit or debit card on a recurring basis.
If a payment is declined, Practice may suspend or terminate your Membership.
Notify Practice at membership@parkavenuemedicine.com to update your Payment Method at least seven (7) days before your next payment date.
Membership requires a 12-month commitment. You are responsible for the full $6,000 fee regardless of usage during the Membership Year.
Early cancellations are not permitted during the initial 12-month Membership Year, except as required by law.
For subsequent Membership Years, cancellations require at least 30 days’ notice prior to the Membership renewal date.
Practice may cancel your Membership with at least seven (7) days’ notice or immediately with cause.
Membership Fees are non-refundable except as required by law.
You agree to indemnify, defend, and hold harmless NEW YORK PHYSICIAN SOCIETY and Karan Johar MD PLLC dba NYC Pain Specialists; Lenox Hill Pain Management and Spine PLLC; Lenox Hill Medical PC dba Park Avenue Medicine & Surgery; Karan Johar MD; and all related providers and entities (collectively, the “Indemnified Parties”) from and against any and all claims, demands, liabilities, damages, losses, costs, or expenses (including reasonable attorneys’ fees) arising from or related to:
Your use of Membership Services.
Your failure to comply with the terms of this Agreement.
Any third-party claims resulting from your actions or omissions during the use of Practice’s services.
This indemnification clause shall survive the termination of this Agreement.
Practice will maintain a record of your medical services and protect your information in compliance with HIPAA, state, and federal privacy laws.
Binding Arbitration:
Any disputes arising from this Agreement will be resolved through binding arbitration in accordance with procedures inspired by JAMS Streamlined Arbitration Rules & Procedures, but the arbitration will not involve JAMS itself.
The arbitrator will be chosen solely by the Practice.
Arbitration Terms:
Arbitration shall take place in New York, NY.
The arbitrator will issue a binding written decision, and remedies shall be limited to those available under applicable law.
Class Action Waiver:
You waive the right to bring or participate in any class, collective, or representative action.
Arbitration Costs:
Each party will bear its own legal fees and share the arbitration costs equally unless prohibited by applicable law.
Governing Law: This Agreement is governed by the laws of New York.
Force Majeure: Practice is not liable for delays caused by events beyond its control, such as natural disasters, pandemics, or government actions.
Severability: If any term is deemed unenforceable, the remaining terms remain valid.
